LEIVOTEST–STACS Master Legal Terms
Policies, Memoranda of Understanding, and Acknowledgements governing the Workforce Mobility Operating System.
Notice to reader. This is a comprehensive controlled document intended for review and adaptation by qualified legal counsel prior to execution and publication in each operating jurisdiction. It is drafted in structured, plain professional language; counsel may condense or expand clauses as appropriate. It is not, by itself, legal advice.
Part 1
Acceptance & Scope
1.1These Master Legal Terms ("Terms") govern all access to and use of the LEIVOTEST–STACS platform, systems, dashboards, communications and services (together, the "Platform") by any person or entity ("you") in any role, including Skilled Worker, Employer, Assessor & Verifier, and every other Hub (recruitment agency, immigration lawyer, training provider, settlement partner, travel agency).
1.2By registering for, accessing, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by every Part of these Terms that applies to your role, and by any role-specific Memorandum of Understanding ("MOU") set out below.
1.3Nature of STACS. STACS is trust infrastructure and a workforce-mobility operating system. STACS is not a recruitment agency, an employer, an employment business, a law firm, an immigration adviser, or a government or public authority, and does not act as any of these.
1.4No outcome guaranteed. STACS verifies, prepares, coordinates and connects. STACS does not guarantee, promise, procure or warrant any job offer, salary, engagement, verification result, visa, work permit, relocation, residence, or any immigration or employment outcome. All such decisions rest exclusively with employers, professional bodies, and competent government authorities.
1.5Capacity. You represent that you are at least eighteen (18) years of age and have full legal capacity and, where you register on behalf of an entity, full authority to bind that entity to these Terms.
1.6Electronic acceptance. Ticking a declaration box, clicking "register", or otherwise using the Platform constitutes a valid electronic signature and acceptance of these Terms with the same effect as a handwritten signature.
1.7Order of precedence. Where a role-specific MOU (Parts 4–6) conflicts with the general provisions, the MOU prevails for that role to the extent of the conflict; otherwise all Parts are read together as one instrument.
1.8Amendment. STACS may amend these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use after the stated effective date constitutes acceptance of the amended Terms.
Part 2
Definitions
In these Terms, the following expressions have the meanings given:
2.1"Skilled Worker Pool" means the body of registered skilled workers, maintained in two tiers: the "Unverified Pool" and the "Verified Pool".
2.2"Hub" means any non-worker party admitted to the Platform, including Employer, Recruitment Agency, Immigration Lawyer, Training Provider, Assessor & Verifier, Settlement Partner, and Travel Agency.
2.3"Unique ID" means the identifier issued to a party upon approval (for example, WK- for workers, EM- for employers, AV- for verifiers). No party may act on the Platform before a Unique ID is issued.
2.4"Verification" means the confirmation of a credential or fact by an approved Verifier, supported by a Confirmatory Document from the issuing body and recorded in the Verification Log.
2.5"Confirmatory Document" means an authentic document or record from the establishment, agency, organisation or authority that issued or can confirm a credential.
2.6"Physical Clearance" means the process under Part 8 by which STACS may require original documents to be produced or shipped for inspection.
2.7"Personal Data" has the meaning given under applicable data-protection law and includes any information relating to an identified or identifiable individual.
Part 3 · Policy
Terms of Use
3.1Eligibility. The Platform is available only to persons aged 18 or over with capacity to contract, and to entities lawfully constituted and authorised.
3.2Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify STACS promptly of any unauthorised use. Accounts are personal and non-transferable and may not be sold, shared or sub-licensed.
3.3Approval before action. Every account is private and invisible to other parties until reviewed and approved and a Unique ID is issued. Registration creates no entitlement to be approved, listed, contacted, hired, verified, sponsored or relocated.
3.4Accurate information. You must provide information and documents that are true, current, complete and lawfully obtained, and keep them updated. Impersonation, false statements, and forged or altered documents are prohibited and may be reported to authorities.
3.5Prohibited conduct. You must not, and must not permit any person to: (a) defraud, deceive or misrepresent; (b) harass, threaten, discriminate against, traffic, coerce or exploit any person; (c) harvest, scrape, bulk-export, resell or repurpose data; (d) circumvent fees, protections, caps or security; (e) upload malware or interfere with the Platform; or (f) breach any applicable law.
3.6Intellectual property. The Platform, its design, marks, text, and software are owned by or licensed to LEIVOTEST–STACS and are protected by law. You receive a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose only. You may not copy, reproduce, distribute, or create derivative works from Platform content, including this document, without written permission.
3.7Your content. You grant STACS a licence to host, process and display the information and documents you submit to the extent necessary to provide the service. You warrant you have the rights to submit them.
3.8Third-party services. The Platform integrates third-party services (for example, payment, storage and email providers). Their terms and privacy practices apply to their processing, and STACS is not responsible for third-party acts or omissions.
3.9Suspension and termination. STACS may suspend, restrict or terminate access, remove content, or refuse service, with or without notice, where it reasonably suspects a breach, fraud, risk to any person, or legal requirement.
3.10Disclaimers. The Platform is provided "as is" and "as available". To the maximum extent permitted by law, STACS disclaims all implied warranties, including fitness for a particular purpose, and does not warrant uninterrupted or error-free operation, or any outcome.
3.11Limitation of liability. To the maximum extent permitted by law, STACS shall not be liable for indirect, incidental, special, consequential or punitive loss, or loss of profit, opportunity, data or goodwill; and STACS's aggregate liability arising out of or in connection with the Platform shall not exceed the fees you paid to STACS in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot lawfully be limited.
3.12Indemnity. You will indemnify and hold STACS harmless against claims, losses and costs arising from your breach of these Terms, your content or documents, or your unlawful conduct.
3.13Force majeure. STACS is not liable for failure or delay caused by events beyond its reasonable control.
3.14Assignment. You may not assign your rights or obligations without STACS's consent. STACS may assign to an affiliate or successor.
3.15Notices. STACS may give notices through the Platform or to your registered email; such notices are deemed received when sent.
Part 4 · Memorandum of Understanding
Skilled Worker Agreement
This MOU is between LEIVOTEST–STACS and each registered Skilled Worker ("you") and takes effect on registration.
STACS undertakings
4.1Provide, upon approval, a secure profile within the Skilled Worker Pool, with a Unique ID.
4.2Coordinate verification of your credentials through approved Verifiers, and record results transparently in the Verification Log.
4.3Provide orientation and readiness resources and make your contact-masked profile discoverable to approved Employers, so that engagement occurs through STACS rather than through exposed personal contact details.
Your undertakings
4.4Provide truthful information and genuine, lawfully obtained documents, and promptly update material changes.
4.5Complete the mandatory orientation and conduct yourself throughout the journey to the standard of "one people, one standard".
4.6Consent to your credentials being verified by approved Verifiers and to reasonable checks of the documents you submit.
4.7Pay applicable Stage fees where you elect to progress (for example, migrating into the Job Pool). Registration itself is free.
4.8Keep your original documents available for Physical Clearance whenever requested (Part 8).
4.9Acknowledge that STACS earns fees for trust, coordination and readiness services and does not guarantee employment, salary or a visa.
Term & termination
4.10This MOU continues until your account is closed by you or STACS.
4.11STACS may remove you for breach, fraud, or risk to others; fees for services already rendered are non-refundable.
4.12On removal, your profile ceases to be visible; audit records are retained as required by Parts 8 and 9.
Part 5 · Memorandum of Understanding
Employer Agreement
This MOU is between LEIVOTEST–STACS and each registered Employer Hub ("you").
5.1Authority. You represent and warrant that you are duly authorised to recruit on behalf of the organisation you register, and that the organisation is lawfully constituted.
5.2Verification of your organisation. STACS will verify your organisation before activating hiring access.
5.3Access. Upon approval you receive access to the Verified Pool with search, shortlisting (cart and Projects), and structured engagement tools.
5.4Permitted use. You will use candidate data solely for legitimate hiring, and not to harvest, resell, profile, or contact candidates off-Platform to circumvent fees or protections.
5.5Anti-harvesting caps. Shortlisting is capped (currently five Projects of up to one hundred and fifty candidates each) to protect candidates from bulk collection; you will not attempt to exceed or circumvent these caps.
5.6Fair dealing. You will offer lawful, non-discriminatory terms, honour offers you make, and not misrepresent roles, wages or conditions.
5.7Data protection. Where you receive Personal Data, you will process it lawfully, keep it secure, use it only for the stated hiring purpose, and delete it when no longer required.
5.8No circumvention. You will not solicit STACS candidates or Hubs to transact outside the Platform to avoid fees during the engagement and for a reasonable period thereafter.
5.9Fees. You will pay applicable verification, membership, unlock and placement fees. Hiring decisions and their outcomes remain yours.
5.10Physical Clearance. You will make supporting company documents available for Physical Clearance when requested (Part 8).
5.11Liability allocation. STACS is not a party to any employment relationship you form and bears no employer obligations; you are solely responsible for your engagement of any worker.
5.12Termination. STACS may suspend or terminate your access for breach, non-payment, or risk to candidates.
Part 6 · Memorandum of Understanding
Assessor & Verifier Agreement
This MOU is between LEIVOTEST–STACS and each approved Verifier ("you"). Verifiers are the trust engine of STACS and are held to the highest standard.
6.1Scope. You will verify only credentials you are duly accredited or lawfully authorised to assess, within the sectors and credential types you registered.
6.2Evidence mandate. You will support every verification with a Confirmatory Document from the issuing body, together with its reference, the method used, and your remarks. Bare assertions are not acceptable.
6.3Method. You will use a reliable method (direct confirmation with the issuing body, registry check, original sighted, reference confirmation, or an accredited third-party report) and record it truthfully.
6.4Stamping. You accept that your surname, first name and Verifier ID are permanently stamped onto each record you log, creating a legal-grade audit trail.
6.5Audit. You accept that your records may be audited at any time, and that STACS or third parties may contact the issuing bodies to confirm what you recorded.
6.6Confidentiality. You will keep candidate data confidential and use it solely to perform verification.
6.7Conflicts of interest. You will decline to verify where you have a personal or financial conflict, and disclose any that arises.
6.8Integrity. You will never issue a false, careless, purchased or unsupported verification. Doing so constitutes fraud (Part 8) and will result in removal and possible referral to authorities and professional bodies.
6.9Standard of care. You will exercise the reasonable skill and care of a competent professional in your field and are responsible for negligent verification.
6.10Remuneration. Any fees payable to or by you will be as separately agreed and recorded; nothing in this MOU entitles you to fees for work not performed to standard.
6.11Term. This MOU continues while your account is active; STACS may suspend or remove you for breach.
6.12Survival. Confidentiality, audit-cooperation and integrity obligations survive termination.
Part 7 · Policy
Code of Conduct
Every party agrees to a single, shared standard of conduct:
7.1One people, one standard. Treat everyone with equal dignity regardless of nationality, ethnicity, gender, religion, disability, age or background.
7.2Honesty. No false claims, forged or altered documents, ghost or duplicate accounts, or misrepresentation of identity, authority or qualifications.
7.3Anti-exploitation and anti-trafficking. No trafficking, forced or bonded labour, withholding of identity documents, illegal recruitment fees charged to workers, or abuse of vulnerable persons.
7.4Protection and adults-only. The Platform is for adults (18+). Any content or conduct that sexualises, endangers or exploits any person, or targets minors, is strictly prohibited and will be reported.
7.5Professional communication. No harassment, discrimination, threats, or pressure to move engagement off-Platform to evade protections.
7.6Lawfulness. Comply with the laws of the countries of origin and destination. The Platform is not a route around lawful immigration or employment processes.
7.7Reporting. You will report suspected fraud, exploitation or abuse to STACS. Retaliation against good-faith reporters is prohibited.
7.8Enforcement. Breach may lead to warning, suspension, permanent removal, forfeiture of fees for the offending activity, and referral to authorities.
Part 8 · Policy
Anti-Fraud & Document Integrity — Physical Clearance
8.1Originals on demand. All parties must keep their original documents available at all times and, when requested, make them available for shipping or delivery to the LEIVOTEST–STACS Unit for Physical Clearance.
8.2Consequence of failure. Failure to provide originals when requested may be treated as a perception of illegal practice implicating fraud — a crime that is not permitted on the Platform — and may result in immediate suspension or removal and referral to authorities.
8.3Traceable verification. Every verification must be evidence-backed and traceable to the issuing body, so that any party may independently confirm what was submitted.
8.4Prohibited acts. Forgery, alteration, impersonation, bribery or inducement of Verifiers, and any attempt to obtain a verification, approval or payment by deception are serious offences on the Platform and, where applicable, under law.
8.5Cooperation. You will cooperate fully and promptly with any investigation, inspection or request for information reasonably made by STACS in connection with integrity or fraud.
8.6Sanctions. STACS may suspend, remove, blacklist, reverse benefits obtained by fraud, and report offenders to law-enforcement, professional bodies and affected parties.
8.7Consent. By using the Platform you consent to these integrity measures and to reasonable checks of the documents and statements you provide.
Part 9 · Policy
Privacy & Data Protection
9.1Controller. LEIVOTEST–STACS is the controller of Personal Data processed through the Platform and processes it in accordance with applicable data-protection law.
9.2Data collected. Identity and contact details; professional, credential and document information; a passport photograph (which becomes your profile picture); payment references; and technical usage data.
9.3Purposes and lawful basis. To verify and approve accounts, coordinate verification and hiring, process payments, communicate with you, protect against fraud, and comply with law — relying on contract necessity, legitimate interests, consent and legal obligation as applicable.
9.4Sharing. Approved Employers see contact-masked worker profiles and do not receive personal contacts until engagement proceeds through STACS. Verifiers receive only what is necessary to verify. Service providers (cloud storage, email, payment) process under confidentiality. Disclosure may be made where required by law.
9.5International transfers. Data may be processed in other countries as part of cross-border mobility; appropriate safeguards are applied where required.
9.6Retention. Data is retained only as long as necessary for the service and for legal, audit and anti-fraud purposes, after which it is deleted or anonymised.
9.7Security. Passwords are stored only as salted, one-way hashes; sessions are token-based and time-limited; access is controlled. No system is perfectly secure, but reasonable measures are applied.
9.8Your rights. Subject to law and to records that must be retained, you may request access to, correction of, or deletion of your data, and object to certain processing. Contact us under Part 12.
9.9No sale; no ads. STACS does not sell Personal Data, and STACS products do not carry third-party advertising.
9.10Breach. In the event of a data breach affecting your rights, STACS will act promptly and notify affected parties and regulators where required.
Part 10 · Policy
Fees, Payments & Refunds
10.1Free registration. Registration is free for all parties. Fees apply only when you elect to progress.
10.2Fee types. Worker Stage fees (which may include mandatory orientation); and Employer verification, membership, candidate-unlock and successful-placement fees. Applicable fees are displayed before payment.
10.3Currency and processing. Charges are in Nigerian Naira for Nigerian users and US Dollars for others, as indicated at checkout. Payments are processed by a third-party processor; card details are handled by the processor and are not stored by STACS.
10.4Taxes. Fees are exclusive of any taxes or bank charges, which are your responsibility unless stated otherwise.
10.5Promotions. Launch or promotional discounts, where indicated, are time-limited and may revert to standard rates without notice.
10.6Refunds. Service fees pay for services rendered (verification, coordination, readiness). Because STACS does not and cannot guarantee any job or visa outcome, fees are generally non-refundable once the related service has been delivered. Where a paid service has not been delivered, contact us and we will review in good faith.
10.7No outcome for fee. No fee entitles any party to a guaranteed job, verification result, visa or relocation.
10.8Chargebacks. Improper chargebacks or payment reversals may result in suspension and recovery of amounts due.
Part 11
Acknowledgements & Declarations
On registration, and each time you submit, you confirm that the following are true and that you accept them:
11.1I am 18 or over and the information and documents I provide are true, accurate, current and lawfully obtained.
11.2I understand STACS makes no guarantee of any job, salary, verification result, visa or immigration outcome.
11.3I understand my account is private until approved and that a Unique ID is issued before I can act.
11.4I accept the Code of Conduct and the Anti-Fraud & Document Integrity policy, and that my original documents may be requested at any time for Physical Clearance; failure to provide them may be treated as a perception of illegal practice implicating fraud.
11.5(Employers) I am authorised to recruit for the organisation I register and will use candidate data lawfully and only for hiring.
11.6(Verifiers) I will back every verification with a Confirmatory Document and accept that my records are legal-grade and auditable.
11.7I consent to the processing of my data as described in the Privacy & Data Protection policy.
Part 12
General & Governing Terms
12.1Entire agreement. These Terms and any applicable MOU constitute the entire agreement between you and STACS regarding the Platform and supersede prior understandings.
12.2Severability. If any provision is held unenforceable, the remainder continues in full force.
12.3Waiver. No failure to enforce a provision is a waiver of it.
12.4No partnership. Nothing creates a partnership, agency, or employment relationship between you and STACS.
12.5Governing law and disputes. The governing law and the venue or mechanism for dispute resolution (court or arbitration) will be as set out in the finalised, counsel-reviewed version for the relevant operating jurisdiction. [To be completed by counsel.]
12.6Language. These Terms are prepared in English; where translated, the English version prevails unless law requires otherwise.
